BYLAWS

ARTICLE I

The name of this organization shall be Creatures and Kids, Inc.

  ARTICLE II

Creatures and Kids, Inc. located at P.O. Box 5011, Edmond OK  73083-5011

Incorporated in the state of Oklahoma as a non-profit organization on August 17, 2001. Confirmed IRS 501c-3 status May, 2002

 ARTICLE III

Purpose and Objectives

Section 1: This organization is devoted to humane education and violence prevention. Through animals we will nurture care, patience and responsibility while developing respect, self-esteem and confidence in youth.

Section 2: The objectives of this organization shall include the following:

  1. To instruct youth in positive reinforcement techniques working with rescue animals they can identify with. 

  2. Have continuous programs of family community education for youth. 

  3. To have a strong emphasis on violence prevention. Contact people for organizations we work with.

  4. To promote cooperative relationships with youth organizations, agencies and animal welfare/rescue groups to carry out our programs.

  5. To promote community and agency funding of current and future programs. 

  6. To promote policy to carry out the above objectives. No substantial part of Creatures and Kids, Inc. will consist of carrying on propaganda or otherwise attempting to influence legislation.

ARTICLE IV

Membership

Section 1: The membership shall be open to any citizen with an expressed interest in humane education and violence prevention. 

  1. This membership shall decide all questions, except amendment of these By-laws, and shall  require a majority vote of those present.

  2. Membership dues collected on the anniversary of each member’s application.  Therapy Teams (T.T.) Volunteer Insurance Service (VIS) dues will be collected June, of every year. VIS policy renewal July of each year, policy covers a total of ten teams. There will be a 3-month grace period prior to June, allowing team participation. T.T. will have VIS coverage at no charge until June. T.T. require certification testing to qualify.

 ARTICLE V

Annual Meeting

Section 1: Regular annual meeting. Shall be set by the Board of Directors who shall also set the time and place.

Section 2: Special meetings.  Special meetings may be called by the Chair of special committees or board directors when needed to complete projects.

  1. Standing committees as follows: Youth Instructor and Animal Training, Humane Education, and Finance. Standing committee Chairs will need to be on the Board of Directors or have a Board member assigned to represent their committee during regular board meetings.

Section 3: Meeting notice. Notice of each annual meeting shall be given to each voting member, by mail or e-mail not less than 10 days before the meeting.

 ARTICLE VI

Board of Directors

Section 1: Board Role Size. The Board will receive no compensation other than reasonable expenses. The Board is responsible for overall policy and will consist of up to 9 members. The Board will work with the fundraising committee. The Board will oversee day to day operations of the special committee chairs and be responsible for professional function of the group.

 

Section 3: Board Elections. Election of new directors or election of current directors to a second term will occur as the first item of business at the annual meeting of the corporation. Directors will be elected by a majority vote of the current directors.

Section 4: Terms. All Board members shall serve two-year terms, but are eligible for re- election.

Section 5: Quorum. A quorum shall consist of a majority of the current Board of Directors before business can be transacted or motions made or passed.

Section 6: Notice. Each Board member must receive notice two weeks in advance, of an official Board meeting

Section 7: Officers and Duties. There shall be four officers of the Board consisting of a President, Vice President, Secretary and Treasurer. Their duties are as follows:

The President shall convene regularly scheduled Board meetings, preside or arrange for other members of the executive committee to preside at each meeting in the following order: Vice-Pres, Secretary, or Treasurer. The President will approve all expenses and will be authorized to sign as a sole signature on bank accounts which reflect receipts/disbursements of the organization. S/he shall deliver message to the members at each Annual Meeting.

The Vice-President will chair committees on special subjects as designated by the board. The Vice-President shall perform all the duties of the President in the event of temporary absence or temporary inability of the President to act. The Vice-President will be authorized to sign on bank accounts which reflect receipts/disbursements of the organization and be advised of all disbursements of the organization.

The Secretary shall be responsible for keeping records of Board actions, including overseeing the taking of minutes at all board meetings, sending out meeting announcements, distributing copies of minutes and the agenda to each Board member, and assuring that corporate records are maintained.

The Treasurer shall make a budget report at each Board meeting. Treasurer shall chair the finance committee, assist in the preparation of the budget, help develop fundraising plans, and make financial information available to Board members and the public. The Treasurer will present all bills to the Board members and be authorized to sign as a sole signature on bank accounts, which reflect receipts/disbursements of the organization.

Section 8: Vacancies. When a vacancy on the Board exists, nominations for new members will be accepted from current Board members by the Secretary one week in advance of a Board meeting. These nominations shall be sent out to Board members with the regular meeting announcements and agenda, to be voted on at said meeting. These vacancies will be filled only to the end of the original Board member’s term.

Section 9: Resignation, Termination and Absences. Resignation from the Board must be in writing and received by the Secretary. A Board member shall be removed from the Board if s/he has three un-excused absences from Board meetings in one (1) year. A Board member may be removed for other reasons by a majority vote of the remaining directors.

 ARTICLE VII

Committees

Section 1: Three committees have been created and agreed upon by the current founders of Creatures and Kids, Inc. Finance Committee, Youth Instructor & Animal Training and Humane Education. The Board has the right to create other committees as needed. The Board may re-structure current committees as needed. 

Finance Committee:  The Treasurer is chair of the Finance Committee, which includes three other Board members. The Finance Committee is responsible for developing and reviewing fiscal procedures, a fundraising plan, and annual budget with staff and other Board members. The Board must approve the budget, and all expenditures must be within the budget. Any major change in the budget must be approved by the Board or the Executive Committee.  Annual reports are required to be submitted to the Board showing income, expenditures and pending income. The financial records of the organization are public information and shall be made available to the membership, Board members and the public.

Youth Instructor and Animal Training:  The Chair of Youth and Animal Training will be responsible for coordinating the juvenile offenders training program.  The program requires establishing and maintaining a relationship with the Juvenile Bureau, Office of Juvenile Affairs, Probation Officers, parents and youth, and other referral sources interested in the program.  Dogs from local shelters and rescues will be available for the youth to work with and relationships will be established and maintained with these agencies.  The Animal Coordinator will oversee the training of the youth as well as the care and training of the dogs.  As training is completed the youth will be able to assist in placing the dog in a permanent home.

Humane Education: The Chair of Humane Education / Animal interaction will be responsible for coordinating outreach programs to schools and the community.  Programs will include prevention of abuse to humans and animals, bite prevention and animal behavior, and responsible pet ownership.

  ARTICLE VIII

Professional Staff

The Board of Directors shall be empowered to employ professional staff as needed to carry out the programs for Creatures and Kids, Inc.

ARTICLE IX

Amendments

Section 1: These By-laws may be amended when necessary by a majority of the Board of Directors. Proposed amendments must be submitted to the Secretary to be sent out with regular Board announcements.

These By-laws were approved at a meeting of the Board of Directors of Creatures and Kids, Inc.  on  May 9, 2002  

Corrected:  Article VII, Section 1- strike Four and replace with Three Sept 2, 2002. This was only verbiage correction.  The committees already exist as three.
